As you may have heard, the American Dental Hygienists’ Association is in the process of restructuring our organization to ensure fiduciary responsibility of its officers. A specific episode in one of the state constituents alerted the ADHA to the risks of financial liability when constituents or components do not have clear lines separating their officers’ records from the organization’s records. In response, the ADHA recognized that we must ensure each constituent is properly incorporated under a standard Charter Agreement with ADHA.
The CDHA Special Committee on Restructuring has began gathering information, summarizing this data, and working closely with ADHA over the past two years to ensure that our constituent is well prepared to restructure our components. We have conducted surveys, watched Web-Ex meetings conducted by ADHA, and met many times as a council with reports back to the Board of Trustees.
The Special Committee on Restructuring will be hosting a live Web-Ex on Wednesday, January 18th at 7:00 pm MST. We encourage all component Trustees and leadership to participate, as well as any interested members.
CDHA has several options on how to incorporate/unincorporated each component. We urge our membership to be involved in this process and help your leaders make the right decisions based on the needs of your geographic area and member population. You may also want to consider special interest committees/components. There are no limitations for grouping members. Please note: If any special interest groups are formed, there does need to be a leader, or chair, to operate this entity.
Options for Component Restructuring:
- Incorporate as your own entity/corporation (see chart below)
- Unincorporate and become a “committee” of CDHA
- Dissolve completely and merge with another nearby component
- Split and create additional components
